The General Assembly is the highest body of BORDA and consists of all members. It makes important decisions, such as electing the Executive Board and auditors, setting membership fees, approving the budget and discharging the Executive Board. An ordinary meeting is convened at least once a year, or extraordinarily if necessary. Invitations are sent out in writing or by e-mail. Resolutions are usually passed by a simple majority and recorded in the minutes. Meetings can also be held virtually and members can be represented.
The Board consists of four to nine members, including the first and deputy chairmen, the treasurer and the secretary. In addition, up to five assessors can be elected. The members of the Executive Board are elected by the General Assembly for a two-year term and remain in office until a new election is held. The Board works on an honorary basis, although certain advisory services may be remunerated. The task of BORDA’s Executive Board is to manage the business. In doing so, the members of the Executive Board refer to the basis of the Articles of Association and the resolutions of the General Meeting of Members. The Board meets regularly on a quarterly basis to hold Board meetings. The first chairperson of the Board is responsible for the organisation’s business. If the first chairperson is unable to attend, the deputy chairperson takes over. The Board adopts its own rules of procedure and is made up of members from various fields such as politics, science and civil society in order to ensure a broad range of expertise.
Joachim Klaembt can look back on a long and varied career in the fields of law and shipping. After attending school in Osterholz-Scharmbeck and Bremen (1947–1960), he began his professional career in 1960 with a training program in shipping business management at HAPAG in Hamburg, which he completed in 1962. He then studied law in Berlin and Munich and completed his legal clerkship from 1962 to 1970.
Joachim Klaembt began his legal career in 1970 as a lawyer and legal advisor to AG “Weser” in Bremen. He worked there for more than a decade. From 1983 to 1986, he also took on the role of sales manager at Anker Schifffahrts GmbH.
From 1986, Mr. Klaembt again focused exclusively on his work as a lawyer before being appointed as a notary in 1990. From 1999 to 2001, he was also deputy chairman of BORDA e.V., before being appointed chairman of the board in 2002, a position he still holds today. He continues to practice as a lawyer and retired notary to this day.
His extensive expertise and many years of experience continue to shape his work as chairman of the board of BORDA.
In the past, Hans Budde (1977-1995) and Arend Vollers (1995-2001) held the office of board chairman; since 2002, Joachim Klaembt has assumed this role. Previous managing directors of BORDA were Ulrich Reeps (1978-1996), Dr. Ekkehard Naumann (1996-1998), Peter Diemer (1998-2001), Stefan Reuter (2002-2004 as well as 2014-2019) and Andreas Ulrich (2005-2013). Judith Ringlstetter has held this responsibility since 2019.
Current Executive Director Judith Ringlstetter was appointed in this role in August 2019 and was further appointed as an Executive Board Member in August 2021. Judith Ringlstetter studied law in Germany and the United States and previously completed an apprenticeship as a bank clerk. She joined the organization in January 2018.
